Effect of Appointment of New Trustees:
Upon every appointment made in pursuance of the last foregoing clause thereof, the newly appointed Trustees shall have all powers and authorities of a Trustee under THESE PRESENTS.
14.
Power to Appoint Management Committees:
a) For general or specified activities of the Trust enumerated in the objects the Author / Settler Trustee may appoint a management committee consisting of at least three persons as members but not exceeding five, who shall hold office for a period of two years, unless otherwise removed by the Board of Trustees. They may or may not be from among the Trustees.
b) The Board of Trustees may from time to time delegate general or specified activities to be carried out under the direction and supervision of the Board of Trustees by passing a resolution to this effect in their meetings.
c) A member may also be eligible for appointment where such decision for appointment of any member shall be taken in the meeting of the Management Committee duly signed by the Chairman of the Management Committee.
d) The Management Committee shall meet as and when required but at least once a quarter.
e) Quorum of meetings shall consist of 2/3 of the strength of the Management Committee or 2 members whichever is higher.
f) The Committee shall cause the minutes of its meeting duly signed by the Chairman of the Management Committee who will be appointed by the Board of Trustees from among the members of the Committee. Such minutes shall be placed before the Board (of Trustees) in their ensuing meeting for approval.
g) If a member of the Committee fails to attend two consecutive meetings without prior leave of one of the Trustees, he shall cease to e a member.
h) The members of the Committee will not be entitled to receive any remuneration as member of the Committee but may be reimbursed of expenses actually incurred by them in connection with the Trust or their duties relating thereto subject to approval by the Board of Trustees.
15.
Power to determine all questions of doubt or difficulty:
It shall be lawful for the Board of Trustees to settle and determine all matter of interpretations of THESE PRESENTS as well as matters of difficulties, doubts or disputes and all questions arising in that course of or incidental to the administrations, management and execution of the Trust and power of THESE PRESENTS and such settlement or determination (although the question involved may not have been actually arisen) shall be valid, binding and conclusive and shall not be objected to or reopen upon any ground whatsoever.
16.
Power to compromise and refer to arbitration:
The Board of Trustees shall have full powers to settle, compromise or compound, out of court, all suits, actions and other proceedings and to settle all or other proceedings, differences or demands to arbitration and to adjust the settlements of all accounts relating there to as fully as if they were absolutely entitled to the Trust Fund and without being answerable for the loss occasioned thereby.
